​End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you and Logico Solutions AG.

This EULA Agreement governs your purchase and use of our products for the Microsoft Dynamics 365 Business Central software (“Software”) directly from Logico Solutions AG or indirectly through an authorized reseller or distributor of Logico Solutions AG (a “Reseller”) .

Please read this EULA agreement carefully before completing the installation process and using the Logico Solutions AG software. It provides a license to use all Microsoft Dynamics 365 Business Central software products and includes warranty information and disclaimers.

If you register for a free trial of any of our Microsoft Dynamics 365 Business Central software products, this EULA agreement also applies. By clicking “Accept” or installing and/or using the Microsoft Dynamics 365 Business Central software, you confirm your acceptance of the software and agree to be bound by the terms of this EULA agreement.

If you are entering into this EULA Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such company and its affiliates to these Terms. If you do not have such authority or if you do not agree to the terms of this EULA, do not install or use the Software and you must not accept this EULA.

License Grant

Logico Solutions AG hereby grants you a personal, non-transferable, non-exclusive license to use the Dynamic Commerce Shipping Cost Software on your devices in accordance with the terms of this EULA agreement.

You are permitted to load the Microsoft Dynamics 365 Business Central software (e.g. PC, laptop, cell phone or tablet) under your control. You are responsible for ensuring that your device meets the minimum requirements of the Microsoft Dynamics 365 Business Central software.

You are not allowed to:

• Edit, alter, modify, adapt, translate or otherwise alter the Software, in whole or in part, nor allow all or part of the Software to be combined with or incorporated into any other software, nor the decompile, disassemble or reverse engineer any software or attempt to do any such things.

• Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose.

• Permit third parties to use the Software on behalf of or for the benefit of third parties.

• Use the Software in any way that violates any applicable local, national or international law.

• Use the Software for any purpose that Logico Solutions AG considers to be a violation of this EULA Agreement.

Intellectual Property and Property

Logico Solutions AG retains ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you at all times. The software (and the copyright and other intellectual property rights of any kind in the software, including all changes made thereto) are and remain the property of Logico Solutions AG. Logico Solutions AG reserves the right to grant licenses to use the software to third parties.

Termination

This EULA Agreement is effective from the date you first use the Software and will continue until terminated. You can terminate the agreement at any time by notifying Logico Solutions AG in writing.

The Agreement will terminate immediately if you fail to comply with any provision of this EULA Agreement. Upon such termination, the licenses granted by this EULA will immediately terminate and you agree to cease access to and use of the Software. The provisions will survive any termination of this EULA Agreement.

Applicable Law

This EULA Agreement and any disputes arising out of or in connection with this EULA Agreement shall be governed by and construed in accordance with Swiss law.
